J’s NA Distribution – Product Buy-Back Requirements

These Product Buy-Back Requirements (“Requirements”) outline the terms under which J’s NA Distribution (“Distributor”) will repurchase eligible products (“Products”) from Retailers.

1. Right of Repurchase

Distributor may, at its sole discretion, repurchase eligible Products from Retailers, subject to the following conditions:

• Unopened – Packaging must be fully sealed and intact.

• Undamaged – Cases, kegs, and packaging must be free from dents, tears, leaks, or other damage.

• Stored Properly – Retailer must maintain all Products under required conditions (including refrigeration if applicable along with the temperature sensors or records).

• Timeliness – Products must have been originally purchased within 30 days of the repurchase request, unless otherwise agreed to in writing by Distributor.

2. Kombucha & Other Temperature-Sensitive Products

• Retailer must ensure Products remain under continuous refrigerated storage between 32°F and 41°F while in storage, transportation, and at retail destinations.

• Retailer agrees to use either a temperature-indicating label or maintain daily temperature records verifying compliance, or

• Distributor will install a temperature sensor in the retailer’s cooler for verification and SQF (Safe Quality Food) compliance records. This installation may occur at the time of delivery or another mutually agreed-upon time.

3. Exclusions

The following Products are not eligible for repurchase:

• Expired Products or Products with less than 30 days of shelf life remaining.

• Opened, partially used, or tampered-with Products.

• Products stored outside recommended conditions, as evidenced by temperature records or visible spoilage.

• Products obtained through promotional giveaways, samples, or special event allocations.

4. Return Procedure

• Retailer must submit a return request in writing, including proof of purchase (invoice number and date).

• Distributor will schedule a pick-up or approve return delivery. Unauthorized returns will not be accepted.

• Distributor reserves the right to inspect all returned Products prior to approval of repurchase.

5. Credit & Repayment

• Approved buy-backs will be credited to the Retailer’s account or refunded within 30 business days of Distributor’s confirmation.

• Credit will be issued at the original invoice price, less any discounts, rebates, or promotional allowances applied.

• Distributor is not liable for Retailer’s lost profits, incidental damages, or costs associated with removal or storage of Products.

6. General Terms

• Distributor reserves the right to amend or discontinue these Requirements at any time upon written notice.

• Retailer’s continued participation in Distributor’s buy-back program constitutes acceptance of the most current Requirements.

• These Requirements are governed by the laws of the State of Minnesota.
